Terms of Service
Effective date: February 21, 2026
These Terms of Service ("Terms") govern your access to and use of the BarOS platform ("Service"), operated by BarOS ApS, a company registered in Denmark ("BarOS", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.
1. Definitions
- "Customer" or "you" means the entity or individual that creates an account and subscribes to the Service.
- "Venue" means a bar, taproom, or other establishment managed through the Service.
- "Customer Data" means all data you upload, create, or generate through the Service, including venue information, product catalogs, invoices, sales data, and tap configurations.
- "Staff Users" means individuals you authorize to access the Service via PIN or other access methods on your behalf.
- "Subscription" means your chosen paid or free plan for accessing the Service.
2. Account Registration
To use BarOS, you must create an account by providing a valid email address and setting a password. You are responsible for:
- Providing accurate and current registration information.
- Maintaining the confidentiality of your login credentials and staff PINs.
- All activity that occurs under your account, including actions taken by your Staff Users.
- Notifying us promptly at support@baros.dk if you suspect unauthorized access.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. One account corresponds to one venue unless otherwise agreed.
3. The Service
BarOS provides a cloud-based platform for managing bar and taproom operations, including:
- Tap management and keg lifecycle tracking.
- Supplier invoice processing with AI-powered data extraction.
- Product catalog management.
- Sales data integration and profitability reporting.
- Staff access via PIN-based kiosk mode.
We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or experience outages. We will make reasonable efforts to notify you of planned downtime in advance.
The AI-powered invoice processing feature uses third-party AI models to extract data from uploaded documents. While we aim for high accuracy, you are responsible for reviewing and verifying all extracted data before relying on it for business decisions.
4. Subscriptions & Billing
4.1 Plans
BarOS offers a free tier and paid subscription plans. The features, limits, and pricing of each plan are described on our website and may be updated from time to time. We will notify existing subscribers at least 30 days before any price increase takes effect on their account.
4.2 Billing
Paid subscriptions are billed in advance on a monthly basis through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on file each billing cycle. All amounts are in USD unless otherwise stated.
4.3 Free Trials
We may offer free trial periods for paid plans. At the end of a trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial expires. We will remind you before your trial ends.
4.4 Cancellation & Refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access until then. We do not provide prorated refunds for partial billing periods. If you believe you were charged in error, contact us within 30 days.
4.5 Taxes
Prices are exclusive of applicable taxes. You are responsible for any VAT, sales tax, or other taxes applicable in your jurisdiction. Where required, we will add applicable taxes to your invoice.
5. Your Data & Ownership
5.1 You Own Your Data
Your Customer Data belongs to you. BarOS does not claim any ownership rights over the data you upload or create through the Service. This includes your venue information, product catalogs, invoices, sales records, tap configurations, and any other data you provide.
5.2 License to Provide the Service
You grant BarOS a limited, non-exclusive license to use, process, and store your Customer Data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your data or your account is closed.
5.3 Data Processing
We process your Customer Data on your behalf as a data processor under GDPR. Our processing activities are governed by our Data Processing Agreement and Privacy Policy. For uploaded invoices, document content is sent to our AI sub-processor (Anthropic) for data extraction; extracted data is stored in our database and the original documents in secure cloud storage.
5.4 Data Portability
You may export your Customer Data at any time through the Service's export features (CSV export). Upon account termination, we will make your data available for export for 30 days before deletion, unless you request earlier deletion.
5.5 Aggregated Data
We may create anonymized, aggregated statistics from Customer Data (e.g., average keg durations across the platform). Such aggregated data cannot identify you or your venue and may be used for improving the Service, benchmarking, and marketing.
6. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Share your account credentials with third parties or allow unauthorized access.
- Attempt to reverse engineer, decompile, or hack any part of the Service.
- Interfere with the Service's infrastructure or other users' access.
- Upload malicious content, malware, or content that infringes third-party rights.
- Resell, sublicense, or redistribute the Service without our written consent.
7. Intellectual Property
The Service, including its source code, design, features, documentation, and branding, is owned by BarOS and protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your subscription period.
You may provide feedback, suggestions, or feature requests ("Feedback"). You grant us an unrestricted license to use such Feedback without obligation to you.
8. Warranties & Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure.
- AI-processed invoice data will be 100% accurate.
- The Service will meet all of your specific requirements.
- Any defects will be corrected within a specific timeframe.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- BarOS's total liability for any claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to BarOS in the 12 months preceding the claim.
- BarOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability.
- These limitations apply even if BarOS has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for fraud, gross negligence, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.
10. Indemnification
You agree to indemnify and hold BarOS harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
11.1 By You
You may close your account at any time by contacting us or using the account settings in the Service. Your subscription will remain active until the end of the current billing period.
11.2 By BarOS
We may suspend or terminate your access to the Service if:
- You breach these Terms or the Acceptable Use Policy.
- Your payment fails and remains unresolved for 14 days after notification.
- We are required to do so by law.
- We reasonably believe your use poses a security risk to the Service or other users.
Where possible, we will provide advance notice and an opportunity to remedy the issue before termination. In cases of serious violations, we may terminate immediately.
11.3 Effect of Termination
Upon termination, your right to access the Service ceases. We will retain your Customer Data for 30 days to allow you to export it, after which it will be permanently deleted. Sections that by their nature should survive termination will survive, including data ownership, limitation of liability, and governing law.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or a prominent notice in the Service. Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree with the changes, you may close your account before the changes take effect.
13. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Copenhagen, Denmark.
If you are a consumer within the EU, you retain any mandatory consumer protection rights granted by the laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer.
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
